Valency is as a result of the number of electrons in an atoms outermost electron shell.

An atoms Oxidation State (or number) refers to the charge of an ION of that atom when all bonds between it and another atom are broken. It is dependant upon another atom (of a different element) being present.

That is not to say however, that an atoms valency and oxidation state cannot be the same (Fe(II)), for example has a valency of 2 and an oxidation state of +2.
